01Agreement to these terms
These Terms of Service (“Terms”) govern your use of InstantKnowledgeBot — our website, dashboard, APIs, chat widget and related services (together, the “Service”). The Service is operated by GrammarCheck LLC, 2003 Plank Road #1142, Fredericksburg, VA 22401, United States. “InstantKnowledgeBot”, “we”, “us” and “our” refer to GrammarCheck LLC. “You” means the person or organization using the Service.
By creating an account, ticking the box at signup, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization. If you don't agree, please don't use the Service.
02The Service
InstantKnowledgeBot lets you upload documents and text (your “knowledge base”) and create AI chatbots (“bots”) that answer questions using that content. You can test a bot in your dashboard, share it by link, and embed it on websites with a script tag or iframe. The dashboard shows your bots' conversations, analytics and usage.
Bots can run on AI provided by us (“hosted AI”, currently powered by Anthropic's Claude models and OpenAI's GPT models) or on an AI provider account you connect with your own API key (“bring your own key”, or BYOK). We may add, change or remove features over time. We'll try to give reasonable notice of changes that materially reduce what the Service does for you.
03Accounts and eligibility
- Age. You must be at least 16 years old to create an account or use the dashboard. If you're under the age of majority where you live, you confirm a parent or guardian has agreed to these Terms on your behalf.
- Accurate details. Give us a real name and an email address you control. We verify it with a one-time code.
- Security. Keep your password private and use a strong, unique one. You're responsible for activity under your account. Tell us promptly at support@instantknowledgebot.com if you suspect unauthorized access.
- One person per login. Don't share credentials or create accounts with automated means, and don't create multiple accounts to get around limits.
04Your content and responsibilities
“Your content” means everything you upload or enter into the Service — documents, text, bot names, greetings, instructions and settings — plus the knowledge base built from it.
- You need the rights. Only upload content you own or have permission to use in this way, including permission to have it processed by AI providers to generate answers.
- No unlawful content. Don't upload content that is illegal, infringing, defamatory, or that violates someone's privacy or confidentiality.
- No sensitive data unless permitted. Don't upload health records, payment card data, government ID numbers, passwords, or other special-category or highly sensitive personal data unless you are legally allowed to, have any required consents, and have confirmed the Service is appropriate for it. The Service is not designed to meet HIPAA, PCI-DSS or similar sector-specific requirements.
- Personal data. If your content includes personal data about others, you are responsible for having a lawful basis to process it and for meeting your obligations to those people.
Anything your bot says is based on your content, so keep your knowledge base accurate and up to date.
05Acceptable use
You agree not to, and not to let anyone else:
- use the Service for spam, phishing, harassment, abuse, or to deceive people;
- upload, generate or distribute illegal content, malware, or content that exploits or harms minors;
- try to bypass usage limits, rate limits, authentication, or other security or billing controls — for example by creating extra accounts or automating traffic to a bot;
- probe, scan, overload or disrupt the Service, or access it in ways other than through the interfaces we provide;
- reverse engineer the Service except where the law allows despite this restriction;
- use the Service to build a competing product by copying its features or content, or resell it without our written permission;
- use a bot to impersonate a person or organization, or to make decisions with legal or similarly significant effects on people without appropriate human review;
- violate the usage policies of the AI provider whose models your bot uses.
06AI output disclaimer
Bots generate answers with large language models. AI output can be incomplete, outdated or wrong, even when it sounds confident, and it can occasionally include content that isn't in your documents. Bots are instructed to answer only from your knowledge base, but we can't guarantee that they always will.
AI output is not professional advice — not legal, medical, financial, tax or other professional advice. You're responsible for reviewing how your bot behaves, for how you and your visitors use its answers, and for adding appropriate disclaimers on your site. Don't rely on a bot for emergencies or decisions where an error could cause harm.
07Bring your own key
- You may connect API keys for supported providers (currently Anthropic/Claude, OpenAI/ChatGPT, Google/Gemini and xAI/Grok). When a bot uses your key, requests are sent to that provider on your behalf.
- Charges are yours. You're responsible for all charges your provider bills for usage on your key, including usage from your bots' visitors. Set spending limits with your provider if you need them. We don't control their pricing and can't refund their charges.
- Their terms apply. Your use of a provider is governed by your agreement with that provider, including their usage policies and data terms.
- Key storage. We store keys encrypted at rest, use them only to run your bots and validate the key, and never display a full key again after you save it. You can remove a key at any time; bots using it then switch back to hosted AI.
- Keep your key secure and rotate it with your provider if you think it was exposed.
08Hosted usage limits and fair use
Hosted AI is included with your account up to the limits of your plan, shown on our pricing page and in your dashboard (for example, 1 bot and 100 hosted AI messages per calendar month (UTC) on the Free plan). When your monthly hosted allowance runs out, we first use any message packs or bonus messages on your account, then any valid AI key you have connected. If neither is available, the bot shows visitors a short “temporarily unavailable” message until the next month, and we let you know by email. Messages on your own key are not capped by us.
All use, including BYOK, is subject to fair use and rate limits that protect the Service for everyone. We may change limits, and we may throttle or pause activity that is abusive, automated, or degrades the Service for others. Where practical we'll tell you before taking action.
09Plans, payments, trials and affiliates
The Free plan costs nothing. Paid plans (Starter, Pro and Agency), message packs and the done-for-you setup service are priced as shown on our pricing page at the time you buy. We never charge you without showing you the price and getting your agreement at checkout.
- Payments. Payments are processed by Stripe. Subscriptions renew automatically each month or year until cancelled. Prices exclude any taxes that apply where you are.
- Changes and cancellation. You can change or cancel your plan at any time from your dashboard. Plan changes may be prorated. If you cancel, you keep paid features until the end of the period you've paid for, then move to the Free plan. Downgrading doesn't delete your bots, but features and limits of the lower plan apply.
- Trial. Each account can get one free 14-day Pro trial, which starts when you create your first bot. No card is needed and you are not charged when it ends; you move to the Free plan unless you choose to upgrade. Hosted AI messages during the trial may be capped lower than the paid plan.
- Message packs are one-time purchases. Their messages don't expire while your account exists and are used only after your monthly allowance.
- Referrals and affiliates. Referral bonus messages and affiliate commissions are subject to the program rules shown in your dashboard and on our affiliates page, including limits on rewarded referrals, a 30-day hold before commissions are approved, voiding of commissions on refunded payments, and a ban on self-referrals and spam. We may withhold rewards obtained in breach of those rules.
10Embedding bots on websites
When you embed a bot on a website or share its link, you are the operator of that bot towards your visitors. You are responsible for:
- disclosing to visitors that they are chatting with an AI assistant, and that their messages are processed by InstantKnowledgeBot and AI providers on your behalf;
- having a privacy notice on your site that covers the chat, and any consent required by applicable law;
- making sure the bot and its answers are appropriate for your audience and comply with the laws that apply to your site.
Conversations on embedded bots are stored so you can review them in your dashboard, and are deleted automatically when your plan's chat history window ends (7 days on Free, 30 on Starter, 90 on Pro, 365 on Agency). See our Privacy Policy for details.
11Intellectual property
- You own your content. You keep all rights in your content, and, as between you and us, in the outputs your bots generate for you.
- License to run the Service. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display your content only as needed to provide, secure and support the Service for you (including sending it to AI providers to generate answers). This license ends when your content is deleted, except for copies we must keep by law.
- Our property. The Service, its software, design and brand belong to us and our licensors. These Terms don't give you rights to our trademarks or code beyond using the Service as intended.
- Feedback. If you send us ideas or feedback, we may use them without obligation to you.
12Third-party services
The Service relies on third parties such as AI providers, hosting, database and email providers, listed in our Privacy Policy. Third-party services you choose to connect (such as your own AI provider account) are governed by their own terms, and we're not responsible for them.
13Suspension and termination
- By you. You can stop using the Service at any time and delete your account from your dashboard settings. Deleting your account deletes your bots, knowledge bases, conversations, keys and sessions.
- By us. We may suspend or disable your account or individual bots, or end these Terms, if you breach them, if required by law, if your use creates risk or harm for us, other users or third parties, or if we discontinue the Service. Where reasonable, we'll give notice and a chance to fix the problem first, and give you time to export your data if we discontinue the Service.
- Sections that by their nature should survive termination (including content responsibilities, intellectual property, disclaimers, limitation of liability and indemnity) survive.
14Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and that the Service or any AI output will be accurate, uninterrupted, secure or error-free.
Some jurisdictions don't allow certain disclaimers, so some of the above may not apply to you. Nothing in these Terms limits rights you have as a consumer that can't be waived under applicable law.
15Limitation of liability
To the fullest extent permitted by applicable law, InstantKnowledgeBot will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Service or these Terms, even if we were told such damages were possible.
Our total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) USD $100.
These limits don't apply to liability that can't be limited under applicable law, such as liability for fraud or for death or personal injury caused by negligence.
16Indemnity
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless InstantKnowledgeBot from claims, damages, losses and expenses (including reasonable legal fees) brought by third parties arising from your content, your bots and their use on your websites, your use of your AI provider accounts, or your breach of these Terms or of applicable law.
17Governing law and disputes
These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. Subject to the next sentence, the state and federal courts located in Virginia have exclusive jurisdiction, and you and we consent to their jurisdiction and venue. Before starting any formal dispute, please contact us so we can try to resolve the issue informally. If you are a consumer, nothing in this section removes the protections of the mandatory laws of the place where you live, or your right to bring proceedings in the courts available to you under those laws.
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us about the Service.
18Changes to these terms
We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. If a change is material, we'll give you reasonable advance notice by email or in your dashboard before it takes effect, unless the change is required sooner by law or to address security or abuse. Continuing to use the Service after changes take effect means you accept them; if you don't agree, you can delete your account.
